Ryley Carlock & Applewhite provides comprehensive legal services to banks, insurance companies, pension trusts and commercial and consumer finance companies in lending transactions, loan restructuring and workouts, loan enforcement, bankruptcy, lobbying, and regulatory activities. Our attorneys structure, negotiate and document a wide variety of lending transactions, including revolving credits, construction loans, acquisition and development loans, loan participations and syndicated credits, eurodollar loans, mezzanine loans, letters of credit, and synthetic leases. Our real estate lending experience includes master planned communities, golf courses, subdivisions, hotel and motel properties, agricultural land, dairies, office projects, business and residential condominiums, ground lease projects, state land transactions, retail centers, industrial parks, apartment projects (including Freddie Mac seller/servicer representation) and assisted living facilities. We also frequently serve as local counsel to borrowers and lenders in multistate transactions and as counsel to trustees and bondholders in bond financings.

We represent banking clients in formation and licensing issues before the Arizona State Banking Department and in connection with other regulatory compliance issues. We also have considerable experience in lobbying on matters of interest to financial institutions.

The firm assists lending clients in enforcing their obligations against borrowers who are unable or unwilling to honor their obligations, and regularly represent financial institutions in litigation, arbitration, mediation and bankruptcy proceedings, including the defense of lender liability claims.

We are committed to the philosophy that providing quality service to financial institutions requires familiarity with the law and the regulatory environment in the banking and lending industries, attentiveness to detail, an appreciation of the client’s objectives and the unique aspects of each transaction, timeliness of response, and efficiency in delivery of service - in short, doing what it takes to deliver excellent work product to our lenders in a timely fashion for a reasonable price. We attempt to optimize the combination of those attributes in each engagement to maximize the value of our services to our client, and we challenge ourselves to assure that our services in each engagement are tailored to satisfy, in a professional manner, each lender’s distinctive needs.

We are conversant with the numerous federal, state and local laws and regulations affecting lending, including real estate, water, mineral and other property rights, commercial leases, land use controls, the Uniform Commercial Code, environmental law, construction and mechanics’ lien law, title insurance, environmental issues, and regulatory issues unique to financial institutions.

The lending practice is complemented by a number of other practice areas, including real estate law, business and securities law, environmental and natural resources law, taxation, intellectual property, creditors' rights and bankruptcy and commercial litigation, which round out the broad range of expertise required to effectively serve our financial services clients.

To demonstrate our commitment to our financial services clientele, we also periodically develop and present in-house legal seminars for lending clients, and disseminate lending newsletters and bulletins covering a variety of legal subjects that impact lenders.
