The firm's Business Law Practice is led by James Brophy and is conducted by a team of experienced attorneys capable of tackling any business transaction. The attorneys in this practice have extensive experience in handling both domestic and international transactions, including securities, financing and taxation issues. The Practice's activities include the following expertise:

Business Planning: We are highly skilled in assisting young companies to establish sound legal frameworks and assisting mature companies to address a broad range of legal and transactional problems. We are involved from the earliest stages in the formation and financing of corporations, general, limited and limited liability partnerships, limited liability companies and joint ventures, to the sale and dissolution of mature businesses. We work with underwriters, investment bankers and investment advisors, as well as venture capital funds and investors, in planning and implementing investment or business strategies, and we assist in the creation of appropriate stock and other incentive plans for start-up and established companies.

Corporate Finance: We are active in assisting clients to obtain angel, venture and public financing from sources both inside and outside Arizona. We have assisted clients from bootstrap start-ups through initial and secondary public offerings. Our experience includes handling Forms 8K, 10-Q and 10-K reportings under the Securities Exchange Act of 1934, insider trading and reporting issues, and general securities law compliance.

Limited Liability Companies and Partnerships: We represent numerous limited liability companies and partnerships, and are active in drafting agreements, structuring deals and tax planning for limited liability companies and partnerships.

Municipal Finance: We have experience in representing various Industrial Development Authorities, trustees, underwriters, and users of tax-exempt financing. Members of the group are listed in the Bank Attorneys Red Book.

Insurance: The firm is actively involved in the representation of insurers and provides assistance in establishing insurers and reinsurers and in dealing with all regulatory and tax aspects of the insurance business, and corporate and other legal issues that affect insurers. The firm also has an active practice in the reinsurance area, and represents numerous life and casualty insurers and reinsurers before the Arizona Department of Insurance and in other forums.

Banking: The firm has a lengthy history in representing banks, both with respect to federal and state regulatory matters, and in connection with lending and collection matters.

Mergers and Acquisitions: We represent purchasers and sellers of companies in taxable and non-taxable exchanges for cash, stock, bonds and other assets. We also assist in tax planning for such transactions.
