The firm has, for a number of years, maintained an active practice in the representation of corporate fiduciaries and in all areas of public finance. Corporate Trust In the area of corporate trust representation, the firm has represented Bank of America Arizona (and its predecessors, Security Pacific Bank Arizona, The Arizona Bank and Citibank (Arizona) (prior to its acquisition by Security Pacific Bank Arizona)) in connection with such institutions serving as indenture trustees in over 300 tax-exempt and qualified trust indenture (taxable) financings. The types of financings have included single family housing and home improvement programs, multi-family housing projects and loan-to-lender programs, health care facility financings (both a master trustee counsel and bond trustee counsel), pollution control facility financings, industrial and manufacturing facility financings and public works facility financings. Additionally, the firm has represented corporate fiduciaries in their capacities as paying agents and bond registrars. In the course of such representations, the firm has handled and is familiar with the structuring of most types of financing plans utilized in public debt offerings. Additionally, the firm has served as trustee's counsel to other financial institutions that have requested assistance on a single or periodic basis. As part of its corporate trust representations, the firm has had extensive work and experience in representing indenture trustees in connection with defaulted bond issues including representation in bankruptcy and restructuring proceedings and representation in proceedings with the Resolution Trust Corporation. Public Finance With regard to the firm's practice and experience in the area of public finance, the firm, or lawyers who are now members of the firm, have extensive experience in representing clients in the public finance area and have served as bond counsel, underwriter's counsel, issuer's counsel, project user's counsel, and letter of credit bank counsel in over 300 financings during the past 15 years. The firm is listed as a firm of Municipal Bond Attorneys in The Bond Buyer's Municipal Marketplace publication commonly known as the "Red Book." The firm has had experience in handling both public and private debt offerings, including offerings for non-profit and other tax exempt issuers and offerings subject to the Trust Indenture Act of 1939, and has experience in dealing with the Securities and Exchange Commission concerning investigations of insider-trading transactions and other insider-trading compliance matters. The firm maintains and has extensive contacts with members of the underwriting community, including A.G. Edwards; Alex.Brown & Sons; Rauscher, Pierce, Refsnes; Morgan Stanley Dean Witter & Co., Inc. and other underwriters. In addition, the firm employs several lawyers, including shareholders and associates, who hold certified public accounting certificates and whose experience is helpful in the preparation of Securities and Exchange Commission reports. |
